Terms of Service

These Terms of Service (the "Terms") govern your access to and use of WideWired's network platform, including our website, software clients, edge functions, and managed relay infrastructure (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
The Service is operated globally by WIDEWIRED NETWORKS PTE. LTD. (UEN: 202315263W), a company incorporated in Singapore with its registered office at 1 Raffles Place, #21-01, One Raffles Place, Singapore 048616 (the "Company", "WideWired", "we", "us"). Through the following regional affiliates, we deliver the Service in their respective jurisdictions:
- Nanjing Wanglian Network Technology Co., Ltd. (南京网连网络科技有限公司), operating the Service in mainland China under the IP-VPN license issued by the Ministry of Industry and Information Technology (MIIT) of the People's Republic of China; see Section 17 (China Mainland Users) for details.
- WIDEWIRED NETWORKS LIMITED, operating the Service in Hong Kong SAR (AS153867).
- WIDEWIRED NETWORKS CORPORATION, operating the Service in the United States (AS402056).
Together, the Company and these affiliates are referred to as the "WideWired Networks Group". Where these Terms refer to "we" or "us", the responsible contracting entity is the entity identified on your order form, invoice, or applicable regional service description; absent such designation, the Company is the contracting entity.
1. Definitions
In these Terms:
- "Account" means the user record created when you register with WideWired.
- "Network" means an overlay network you create within the Service to which devices may join.
- "Device" means any endpoint (server, workstation, mobile, or appliance) you connect to a Network using a WideWired client.
- "Prepaid Credit" means the non-cash balance recorded in your Account and used to pay for metered Cloud Relay usage.
- "Order Form" means the document (online or written) under which you commit to purchase paid features of the Service.
- "SLA Service Credit" means a remedy defined by a separate written Service Level Agreement when the Service fails to meet an expressly committed availability level.
2. The Service
WideWired provides a cloud-native software-defined network ("SD-WAN") platform that lets you connect devices into private overlay networks. You are responsible for the devices you connect, the data you route through them, and your compliance with applicable law in every jurisdiction where you operate. The Service is provided to business and technical users; it is not designed for use by consumers as their primary residential telecommunications service.
3. Accounts
You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account, including activity by your devices, team members, or anyone you grant access to. Notify us promptly of any unauthorized use. You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is higher) to create an account.
4. Acceptable Use
You agree not to use the Service to: (a) violate any law or third-party right; (b) transmit malware, spam, or unsolicited bulk traffic; (c) interfere with or disrupt the Service or its underlying infrastructure; (d) circumvent any access control, rate limit, or capacity control; (e) reverse engineer the Service except as expressly permitted by law; (f) probe, scan, or test the vulnerability of any system without authorization; (g) use the Service to facilitate unlawful interception or surveillance of third parties.
We may publish more specific guidelines (for example, a fair-use policy or abuse policy) from time to time. Such guidelines, when published on our website, form part of these Terms.
5. Pricing and Billing
Pricing. Direct and peer-to-peer networking capabilities may be offered free of charge. Metered Cloud Relay usage consumes Prepaid Credit at the rate shown in the Service or an applicable Order Form.
Currency and tax. Fees are billed in the currency shown at checkout (US Dollars via Stripe or Chinese Yuan via Alipay). Fees are exclusive of taxes; you are responsible for any sales, use, value-added, withholding, or similar tax that applies to your purchase, except for taxes on our net income.
Prepaid Credit. A Credit purchase is a one-time purchase and does not renew automatically. Credit is added only after the relevant payment is confirmed. Credit may include purchased balance and promotional or registration grants; the Service identifies the source and any conditions that apply. Credit is not legal tender, cannot be transferred between Accounts, and is not redeemable for cash.
Usage charges. Cloud Relay usage is metered from successfully acknowledged relay traffic and deducted from your Credit balance under the rate card in effect for that usage. We may stop opening new Cloud Relay sessions when your available balance is not positive. Payment reversals, disputes, refunds, and corrections may reverse previously posted Credit and can result in a negative purchased balance.
Payment methods. You authorize us and our payment processors (Stripe and Alipay) to process the one-time Credit purchase you expressly confirm. A browser return or payment-page redirect alone is not proof of payment.
Price changes. We may change future Credit purchase prices or Cloud Relay rates on at least 30 days' written notice (email or in-app). A changed Cloud Relay rate applies only after its stated effective time; previously recorded usage is not repriced.
Invoices. Invoices are issued through the Service in the billing entity's name. You may set a tax ID and billing name in your billing preferences; changes apply prospectively only.
6. Credit Purchases and Refunds
No renewal to cancel. Credit purchases do not create a recurring subscription. You control whether and when to make another purchase.
Refunds. Except where mandatory law requires otherwise, completed Credit purchases are non-refundable. Any approved refund or payment reversal removes the corresponding purchased Credit; already consumed or otherwise unavailable Credit may leave the Account with a negative purchased balance.
Statutory rights. Nothing in this Section limits a non-waivable right or remedy under applicable consumer-protection law.
7. Service Level
Availability target. We operate the Service on a commercially reasonable, best-effort basis and aim to keep it highly available. We do not commit to a specific monthly uptime percentage in these Terms.
Committed SLA (optional). A specific availability commitment, its method of measurement, and any associated SLA Service Credits apply only where expressly set out in a separate Service Level Agreement accepted in writing by both parties under an Order Form. Where such an SLA applies, the SLA Service Credits defined in it are your sole and exclusive remedy for failure to meet the committed availability; they must be claimed within 30 days after the end of the affected month, are non-transferable, expire when that agreement ends, and are not redeemable for cash.
No SLA by default. Absent such a separate written SLA, the Service — including free networking, Cloud Relay, and beta features — is provided without an availability commitment or SLA Service Credits. This does not affect your statutory rights.
8. Beta and Pre-launch
Some features may be labeled "beta," "preview," or "experimental." These features are provided as-is, may change without notice, and may be removed at any time. They are not covered by the SLA in Section 7. Do not rely on beta features for production-critical workloads.
9. Data and Content
You retain all rights to content you transmit through the Service. We do not inspect or store the contents of your overlay traffic beyond what is necessary to deliver the Service (for example, relay headers and telemetry counters). See our Privacy Notice for details on what we collect, how we use it, and how we share it with third-party processors and authorities.
10. Suspension and Termination
By you. You may stop using Cloud Relay or the Service at any time. You may delete your Account from your account settings; deletion is subject to the Privacy Notice and to any legal retention obligations applicable to billing, payment, usage, dispute, and audit records.
By us, for cause. We may suspend or terminate your access to all or part of the Service if: (a) you materially breach these Terms and, where the breach is curable, fail to cure within 14 days after written notice; (b) your Credit balance is not positive or a payment is reversed or disputed; (c) your use of the Service poses an imminent risk to other users, our infrastructure, or third parties; (d) we are required to do so to comply with a binding legal order or regulatory directive.
By us, for convenience. We may terminate or discontinue all or part of the Service on 30 days' written notice, subject to mandatory applicable law. The treatment of any remaining purchased Credit will follow Section 6 and applicable law.
Effect of termination. Upon termination, your right to access the Service ends. We will retain your data for the period described in the Privacy Notice to allow reactivation, after which it will be deleted in accordance with that notice. Sections that by their nature should survive termination (including Sections 6, 11, 12, 14, 15, and 17) will continue to apply.
11. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure against every threat, or that it will meet your specific requirements. Statements made in marketing materials, documentation, or by our personnel do not constitute warranties unless restated as such in these Terms or an Order Form signed by both parties.
12. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service is limited to the total fees you paid to us for the Service giving rise to the claim. Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business, goodwill, anticipated savings, or data, even if advised of the possibility of such damages.
These limitations apply to all claims, whether in contract, tort (including negligence), statute, or otherwise. Nothing in these Terms limits any liability that cannot be limited by law (for example, liability for death, personal injury caused by negligence, or fraud).
13. Export Control and Sanctions
The Service incorporates encryption and networking technology that may be subject to export, re-export, and sanctions laws of Singapore, the United States, the European Union, the People's Republic of China, and other jurisdictions. You represent that you (a) are not located in, organized under the laws of, or resident in any jurisdiction subject to comprehensive sanctions; (b) are not on any restricted-party list maintained by the U.S. Department of the Treasury (OFAC), the U.S. Department of Commerce (BIS), the EU, the UK, or the United Nations; (c) will not use the Service to provide services to such persons or in such jurisdictions, or for any end-use prohibited under applicable export control law (including weapons of mass destruction or unauthorized military end-use).
14. Dispute Resolution
Informal resolution. Before filing a formal claim, the parties will attempt in good faith to resolve any dispute through informal negotiation. Either party may initiate this process by sending written notice to the other describing the dispute and the relief sought. If the dispute is not resolved within 30 days after such notice, either party may proceed to arbitration as described below.
Arbitration. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time of submission. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.
Carve-outs. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or to enforce its rights under Sections 4 (Acceptable Use) and 13 (Export Control and Sanctions). Where mandatory local consumer-protection law applies, nothing in this Section deprives you of rights you cannot waive under that law, including any right to bring a claim in your local court.
Class action waiver. Where permitted by law, each party waives any right to participate as a class representative or class member in any class, collective, or representative action concerning these Terms or the Service.
15. Governing Law
These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Changes
We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to the changes, you may discontinue use of the Service before the effective date.
17. China Mainland Users
If you access the Service from, or use the Service to terminate traffic in, the mainland of the People's Republic of China, the following additional terms apply. The China-facing portion of the Service is operated by Nanjing Wanglian Network Technology Co., Ltd. (南京网连网络科技有限公司) under the IP-VPN license issued by MIIT (Value-Added Telecom Business License No. 合B1.B2-20250100), with ICP filing 苏ICP备2024148714 and Public-Security filing 苏公网安备32011502013203.
You are responsible for ensuring your use of the Service complies with PRC law, including obtaining any approvals required for the cross-border transmission of data, content, or services. We may suspend or restrict features as required to comply with regulatory directives or court orders. For users contracting with the China affiliate, mandatory PRC consumer-protection law and mandatory PRC dispute-resolution venues prevail over Sections 14 and 15 to the extent of any conflict.

1. 定义
本条款中:
- "账号"指你向网连网络注册时创建的用户记录。
- "网络"指你在本服务内创建、供设备加入的 overlay 网络。
- "设备"指你通过网连网络客户端接入网络的任一端点(服务器、工作站、移动设备或网关设备)。
- "预付 Credit"指记录在你账号中、用于支付按量 Cloud Relay 用量的非现金余额。
- "订单"指你据以购买本服务付费功能的文件(在线确认或书面签署)。
- "SLA 服务抵扣"指本服务未达到单独书面《服务等级协议》明确约定的可用性水平时,由该协议规定的救济。
2. 关于本服务
我们提供网连网络云原生软件定义网络(SD-WAN)平台,使你能够将设备组建为私有 overlay 网络。你应对自己接入的设备、传输的数据,以及在每一个运营所在司法辖区内的合规性负责。本服务面向商业与技术用户提供,并非为个人作为住宅基础电信服务而设计。
3. 账号
你须提供真实准确的注册信息并妥善保管账号凭证。账号下所有活动(包括你的设备、团队成员或你授权的任何人产生的活动)均由你负责。如发现任何未授权使用,请及时通知我们。注册账号要求你年满 16 周岁,或达到所在司法辖区的数字同意年龄(以较高者为准)。
4. 使用规范
你同意不利用本服务从事以下行为:(a)违反法律或侵犯他人权利;(b)传播恶意软件、垃圾信息或未经请求的大量流量;(c)干扰或破坏本服务及其底层基础设施;(d)规避任何访问控制、速率限制或容量控制;(e)除法律明确允许外,对本服务进行逆向工程;(f)未经授权对任何系统进行漏洞探测、扫描或测试;(g)利用本服务对第三方实施不法的截听或监控。
我们可能不定期发布更具体的使用指引(例如公平使用政策或反滥用政策)。此类指引一经在我们的网站上发布,即构成本条款的组成部分。
5. 价格与计费
价格。直连及点对点组网能力可能免费提供;按量 Cloud Relay 用量按照本服务中显示或订单约定的费率消耗预付 Credit。
币种与税费。费用以下单时显示的币种计价(通过 Stripe 收取美元,或通过 Alipay 收取人民币)。所列费用不含税;你应承担与本次购买相关的销售税、使用税、增值税、预扣税或同类税项,但不包括针对我们净收入征收的税。
预付 Credit。Credit 购买是一次性交易,不会自动续费;只有在相关付款确认后才记入余额。Credit 可包含购买余额及推广或注册赠送额度,本服务会标明其来源及适用条件。Credit 不是法定货币,不可在账号之间转移,也不可兑换为现金。
用量扣费。Cloud Relay 用量以成功确认的接力流量计量,并按该用量发生时有效的费率从 Credit 余额中扣除。当可用余额不为正时,我们可停止新建 Cloud Relay 会话。付款撤销、争议、退款及更正可撤销此前记入的 Credit,并可能使购买余额为负。
支付方式。你授权我们及支付处理方(Stripe、Alipay)处理你明确确认的一次性 Credit 购买。仅浏览器返回或支付页面跳转不构成付款成功证明。
价格变更。如调整未来的 Credit 购买价格或 Cloud Relay 费率,我们将至少提前 30 天以邮件或站内通知方式书面告知。变更后的 Cloud Relay 费率仅适用于其载明生效时间之后的用量,已记录用量不重新计价。
发票。发票通过本服务以签约主体名义开具。你可在计费偏好中设置税号与抬头;变更仅对将来生效,不溯及既往。
6. Credit 购买与退款
无需取消续费。Credit 购买不会建立定期订阅;是否以及何时再次购买由你决定。
退款。除非强制适用的法律另有要求,已完成的 Credit 购买不予退款。任何获准退款或付款撤销都会扣回对应的购买 Credit;如该 Credit 已消耗或不可用,账号的购买余额可能为负。
法定权利。本条不限制你依据适用消费者保护法享有的不可放弃的权利或救济。
7. 服务等级
可用性目标。我们以商业上合理的尽力而为方式运营控制器 API,并力求保持高可用。本条款不就免费全球组网能力作出具体的月度正常运行时间百分比承诺。
约定 SLA(可选)。具体的可用性承诺、其计量方式及相应的 SLA 服务抵扣,仅在双方于订单项下书面接受的单独《服务等级协议》中明确约定时适用。在该等 SLA 适用的情形下,其约定的 SLA 服务抵扣是你就未达可用性承诺所享有的唯一且排他的救济;须在受影响月份结束后 30 天内申领,不可转让、该协议终止时失效,亦不可兑换为现金。
默认不附带 SLA。在不存在该等单独书面 SLA 的情况下,本服务(包括免费组网能力、Cloud Relay 与 beta 功能)不附带可用性承诺或 SLA 服务抵扣。这不影响你的法定权利。
8. 公测和上线前阶段
部分功能可能被标注为"beta""预览"或"实验性"。此类功能按"现状"提供,可能在不另行通知的情况下变更或下线,不在第 7 条 SLA 范围内。请勿在生产关键场景中依赖此类功能。
9. 数据与内容
你保留通过本服务传输的所有内容的全部权利。除提供服务所必需的范围外(如接力包头、遥测计数),我们不会检查或存储你 overlay 流量的内容。我们收集的内容、使用方式以及与第三方处理者和监管机关的共享情况,详见《隐私政策》。
10. 暂停与终止
由你终止。你可随时停止使用 Cloud Relay 或本服务。你也可在账号设置中删除账号;删除受《隐私政策》以及对计费、支付、用量、争议和审计记录的法定保存义务约束。
因事由由我们终止。如出现以下情形,我们可暂停或终止你对本服务全部或部分功能的访问:(a)你实质性违反本条款,且可补救的违约未在书面通知后 14 天内补救;(b)Credit 余额不为正,或付款被撤销、发生争议;(c)你对本服务的使用对其他用户、我们的基础设施或第三方构成迫近的风险;(d)我们须依据具有约束力的法律命令或监管指令终止服务。
非因事由由我们终止。在强制适用法律允许的范围内,我们可提前 30 天书面通知后终止或停止提供本服务的全部或部分功能。剩余购买 Credit 的处理遵循第 6 条及适用法律。
终止后果。终止后,你访问本服务的权利即告结束。我们将按《隐私政策》规定的期限保留你的数据以便重新激活,之后按该政策删除。依其性质应于终止后继续有效的条款(包括第 6、11、12、14、15 和 17 条)将持续适用。
11. 免责声明
本服务按"现状"和"现有可用"提供,不附带任何明示或默示的保证,包括但不限于适销性、特定用途适用性以及不侵权的保证。我们不保证本服务不间断、无错误或可抵御所有威胁,亦不保证其满足你的特定需求。营销材料、文档或我方人员的陈述,除非在本条款或双方签署的订单中以保证形式重述,否则不构成保证。
12. 责任限制
在适用法律允许的最大范围内,我们因本条款或本服务产生的全部累计责任,以你就引起该索赔的本服务向我们实际支付的费用总额为上限。任何一方均不对任何间接、附带、特别、衍生、警示性或惩罚性损害(包括利润、收入、业务、商誉、预期节省或数据的损失)承担责任,即使被告知此类损害的可能性。
上述限制适用于一切请求,无论基于合同、侵权(包括过失)、法定或其他依据。本条款不限制依法不可限制的任何责任(例如因过失致人死亡或人身伤害的责任,以及欺诈责任)。
13. 出口管制与制裁合规
本服务包含的加密与网络技术可能受新加坡、美国、欧盟、中华人民共和国及其他司法辖区的出口、再出口及制裁法律约束。你声明并保证:(a)你不位于、不依据相关法律设立、亦不居住于任何受全面制裁的司法辖区;(b)你不在美国财政部(OFAC)、美国商务部(BIS)、欧盟、英国或联合国维护的任何受限主体清单上;(c)你不会利用本服务为上述主体或司法辖区提供服务,亦不会用于任何适用出口管制法律所禁止的最终用途(包括大规模杀伤性武器或未经授权的军事用途)。
14. 争议解决
非正式协商。提起正式争议前,双方应本着善意通过非正式协商解决争议。任一方可向另一方发出书面通知,载明争议情况与所求救济,启动协商程序。如自该通知发出之日起 30 天内未达成解决,任一方均可按下述规定进入仲裁。
仲裁。因本条款产生或与本条款有关的任何争议,包括对其存在、效力或终止的任何问题,应提交新加坡国际仲裁中心(SIAC),按提交时有效的 SIAC 仲裁规则最终解决。仲裁地为新加坡;仲裁庭由独任仲裁员组成;仲裁语言为英语。
例外保留。尽管有上述约定,任一方仍可向有管辖权的法院申请禁令或衡平救济,以保护其知识产权或执行其依据第 4 条(使用规范)和第 13 条(出口管制与制裁)享有的权利。如适用的强制性消费者保护法另有规定,本条款不剥夺你依据该法不可放弃的权利,包括在所在地法院起诉的权利。
集体诉讼豁免。在法律允许的范围内,双方均放弃在涉及本条款或本服务的任何集体、共同或代表性诉讼中作为集体代表人或集体成员参与的权利。
15. 适用法律
本条款受新加坡共和国法律管辖,不适用其冲突法规则。《联合国国际货物销售合同公约》不予适用。
16. 条款变更
我们可能不时更新本条款。重大变更将至少在生效前 14 天通过邮件或站内通知告知。生效日之后继续使用本服务即视为接受变更。如你不同意变更,可在生效日前停止使用本服务。
17. 中国大陆用户
如你从中国大陆访问本服务,或利用本服务在中国大陆终结流量,则下述附加条款适用。本服务面向中国的部分由我方关联实体南京网连网络科技有限公司依据工信部颁发的 IP-VPN 许可(增值电信业务许可证合 B1.B2-20250100)运营,已完成 ICP 备案(苏ICP备2024148714)和公安备案(苏公网安备32011502013203)。
你应自行确保对本服务的使用符合中华人民共和国法律,包括就数据、内容或服务的跨境传输取得任何必要的批准。我们可能根据监管指令或法院命令暂停或限制相关功能。对与中国关联实体签约的用户而言,中华人民共和国强制性消费者保护法及强制性争议解决管辖在与本条款第 14 条、第 15 条冲突的范围内优先适用。
